In a move which will enable it to bring advanced mobility solutions to the market, VeriSign (

Alert) Inc., a leading provider of the hardware used in secure networks, has signed an agreement to acquire inCode Wireless, a global business and technology consulting firm, for about $52 million.
The deal means VeriSign will absorb inCode Wireless’ vast expertise in the area of third generation (3G
) wireless networks. It’s a move that makes perfect sense: As wireless networks become more advanced, the day is rapidly approaching when consumers will be able to make online purchases using their cell phones and PDAs – therefore, the development of systems that enable secure, “over-the-air” transactions is going to become vitally important. VeriSign, which provides a variety of security and telecom services ranging from digital certificates, payments processing and managed firewalls, to mobile call roaming
, toll-free call database queries and downloadable digital content for mobile devices, is apparently looking to inCode to help it develop the next generation wireless networks that will make mobile e-commerce a reality.
“With a focus on next generation mobility solutions, inCode professionals have a firm grasp of all aspects of the wireless marketplace - from business strategy to emerging trends,” said Stratton Sclavos, CEO and chairman of VeriSign, in a statement. “Combined with VeriSign’s market-leading portfolio of managed communications and content offerings, we plan to offer end-to-end solutions that enable our customers to launch compelling services that drive new revenue streams and improve customer loyalty.”
Founded in 1998, inCode is considered a global force in wireless business and technology consulting. The company, which has worked with some the world’s leading wireless operators and equipment vendors, as well as some of the world’s largest enterprises, currently has more than 300 employees spread between in 14 offices in 10 countries.
“By joining VeriSign, inCode is able to take our renowned industry thought leadership to the next level,” said John Donovan, chairman of the board and CEO of inCode. “VeriSign’s strength in communications solutions and our global consulting teams will help customers accelerate their transformation to a next generation digital world.”
The acquisition still needs to pass the usual regulatory hurdles. Additional information will be provided following the closing of the transaction, which is expected to occur by January. According to VeriSign, revenue and earnings contributions from the acquisition will not be material to the company’s 2006 financial results.
