Nuance and Dictaphone Announce Termination of Hart-Scott-Rodino Waiting Period for Proposed Acquisition

Nuance Communications and Dictaphone Corporation announced today that their proposed acquisition has been cleared without any undue scrutiny under the Hart-Scott-Rodino Act and granted early termination by the US Department of Justice.
Nuance (News - Alert) and Dictaphone announced an agreement on February 8, stating Nuance's purchase of Dictaphone for $357 million in cash.
The Hart-Scott-Rodino Act is an antitrust regulation that requires investors seeking to merge, acquire or consolidate to file notification with the Federal Government for a 30 day review period on the acquisitions possible effects on competition.
The transaction is expected to close by March 31, 2006.
