Wheelings & Dealings: M&A Week in Review

It’s the end of another week, and it has been an eventful one for mergers, acquisitions, partnerships and funding. Following are the week’s top stories.

Ericsson (News - Alert) and Telefonica are partnering in an R&D initiative for network virtualization. It will focus on future networks and network functions virtualization (NFV), as well as the closely aligned field of software defined networking (SDN). Among its goals are coming up with more flexible and economical solutions, which also allow for more technological innovation.



RF Micro Devices, a designer and manufacturer of high-performance radio frequency solutions, has announced it will merge with TriQuint Semiconductor, a supplier of RF solutions. The merger is likely to create new growth opportunities in three large global markets - mobile devices, network infrastructure and aerospace/defense. As per the merger agreement, both companies will combine in an all-stock transaction reflecting the transaction as a merger of equals.

Adapt Telephony Services is now Symitar's unified contact center partner offering hosted phone and communications services to credit unions, following a strategic partnership between the two companies. Symitar representatives are now authorized to market and reference Adapt's expertise in contact center automation, while Adapt will build tighter integrations between member information at credit unions served by Symitar.

Jasper Wireless (News - Alert) is wheeling and dealing this month with a newly announced partnership with POST Luxembourg to power machine to machine (M2M) and Internet of Things (IoT) services. This comes just after another announced partnership between Jasper and Axeda to provide operational services and cloud-based connectivity. POST Luxembourg itself was formed last fall from the merger of P&T Luxembourg and LUXGSM.

After working closely together as partners for more than a year, Good Technology (News - Alert) announced it has signed an agreement to acquire BoxTone, a mobile service management company. The purchase is intended to strengthen Good Technology’s position in the growing collaboration, security and enterprise mobile management solutions industry.

Rovi—a company that handles data licenses related to television guides—has picked up Veveo, a firm that deals with search and analytics, in an impressive eight-figure deal. Rovi, according to word from executive vice president John Moakley, offered Veveo $69 million total--$62 million in cash outright and up to $7 million more when a set of established targets are met—for the company, which in turn is set to provide Rovi with a stack of new tools to help drive its analytics efforts as well as its search functions, a natural fit for a company that works with television guides.

ThreatStream, an enterprise security startup that provides real-time awareness of the external threat landscape, has received $4 million in Series A funding from Google Ventures, Paladin Capital Group, Cloudera CEO Tom Reilly, and ArcSight (News - Alert) founder Hugh Njemanze. The company has been building a reputation for providing reliable security solutions and generating revenue during its early stage of development.

Oracle Corp. has revealed plans for yet another acquisition. This time it’s snapping up marketing data management platform company BlueKai. Terms of the deal were not disclosed, but Business Insider says its value is in the $400 million range. This deal is important because companies are looking for more efficient ways to learn about and acquire new customers across different communications channels, and this could further software giant Oracle’s quest to help them do that.

The acquisition of Simple, an online bank whose founding premise was to get rid of the headaches of traditional banking, by the second largest bank in Spain for $117 million, was unexpected to say the least. Banco Bilbao Vizcaya Argentaria (BBVA) is a global financial services group founded in 1857 with large positions in Mexico and leading franchises in South America as well as the Sunbelt region of the United States.

The cloud computing space just got a massive shot in the arm with the announcement that SAP and Rackspace are committing to the Cloud Foundry platform-as-a-service (PaaS) standard. The companies are giving the platform a combined $3 million infusion over three years with the goal of making it an enterprise PaaS that will both run clouds as well as create an open governance model to guide the cloud development process.

A couple of months ago at the beginning of December 2013, the Federal Communications Commission (FCC) approved Verizon’s petition to acquire Verizon Wireless (News - Alert) from global British telecommunications company Vodafone. Last week, on Friday, the transaction was completed. Not only did it come to a successful conclusion for Verizon, it does seem that everything mentioned above actually took place. The transaction that now makes Verizon Wireless a company solely owned by Verizon Communications was completed in the first quarter.
