Syniverse (News
- Alert), a company that offers mobile operators, Internet providers and other players in the telecommunication industry roaming, messaging and networking services, has signed a definitive agreement to acquire MACH (News - Alert), another telecom operator, for $550 million. MACH has had a growing portfolio of cloud-based communication services that help monetize mobile data, optimize wholesale processes, simplify network interoperability and protect revenue.
The president and CEO of Syniverse, Jeff Gordon (News - Alert), said that the proposed acquisition, expected to be accretive within the first year after the transaction, will benefit the entire mobile ecosystem with solutions for the Mobile 3.0 environment, greater reach and agility as well as simplify interoperability complexities and service ubiquity. Gordon expressed his conviction that Syniverse will provide the added scale as mobile continues to grow in everyday life around the globe. He said that “ultimately, mobile consumers will benefit from more advanced services and applications while Mobile Service Providers (MSPs) will realize additional revenue opportunities and cost savings form service efficiencies.”
Currently, Syniverse has an existing customer base of over 900 MSPs and the acquisition will enable the company to rapidly address marketplace demands through real-time intelligence, revenue assurance, flexible roaming solutions, fraud prevention and Wi-Fi offload among others. Gordon remarked that this acquisition will help grow Syniverse’s top line revenue while offering scale and critical mass for market advanced solutions for better mobile experiences to end-users.
The CEO of MACH, Morten Brogger, also said that the acquisition will allow his company to offer “significant potential benefits” for customers and end-users. The combination of both companies will help provide a complementary suite of solutions that will help customers deliver an enhanced end-user experience. Deutsche Bank was the sole M&A adviser to the transaction, while Debevoise & Plimton and Shearman & Sterling acted as the legal advisers. Debt financing for the transaction will be provided by Deutsche Bank, Barclays, Credit Suisse and Goldman Sachs.
