Norse Corp. Names Industry Visionary Howard A. Bain III as New CEO

Norse Corp. today named Howard A. Bain III the company's new CEO and interim CFO, effective immediately. He replaces co-founder Samuel M. Glines, who has left the company. The company also named new members to the Board of Directors.

Mr. Bain has served on Norse's Board of Directors since 2013. Throughout his career, he has developed extensive experience leading multi-national corporations. He served as Symantec Corp's Chief Financial Officer in the 90's, and also held that role at Portal Software, Vicinity Corp., and Informix. He was most recently Chairman of the Board and interim CEO at data storage products manufacturer Violin Memory. Since 2004, he has been an independent director and Audit Committee Chair with several public and private companies, and in the process was designated a Governance Fellow with the National Association of Corporate Directors, and elected as a Top 100 Director for 2014. In addition, Mr. Bain has been deeply involved in the operations of numerous technology companies. He was previously a consultant and certified public accountant with Arthur Andersen LLP. He also currently holds a Board seat with Resilient Network Systems, Inc., CallTower (News - Alert) Inc., Nok Labs, Inc., Learning Tree International, and Flexera Software LLC. Mr. Bain holds a B.S. in Business from California Polytechnic University.

"We thank Mr. Glines for his vision and determination in leading Norse thus far, and while it's not easy to see a founder leave, it's not uncommon," said Mr. Bain. "This company has faced serious challenges recently, and we know we have to make equally serious changes in priorities and procedures. I have full confidence that with our deep bench of technical specialists on staff, fresh governance from the revamped board, and the earned support of our longtime customers, we can overcome the challenges and regain a leadership position. We have the technology portfolio, skills and dedication to move forward strongly, and that's what we're working towards."

The reconstituted Board of Directors now includes:

  • Christopher C. Fox, CFA: Mr. Fox founded Summit Strategies Group and worked there in different capacities-including Managing Director-from 1995 to 2014. He brings strong corporate governance skills, having conducted due diligence on hundreds of private equity and venture capital funds. He has been a Norse investor since 2012, participating in numerous capital raises for the firm, and assisting in producing capital-raising presentations. Mr. Fox previously co-founded Mako3D Printing, and is a Board Membr at CSP (News - Alert) Tideriders Swim Club. He received his BBA in Finance, and later in Real Estate, from Southern Methodist University.
  • James A. Fish: Mr. Fish has been an adviser to the Norse Board for the past two years. He has spent the past 25 years in numerous sales and marketing roles, the last 17 as a sales executive with Boston Scientific Corp. His work at Boston Scientific led to several sales awards and a position with the company's Sales Advisory Council, which includes strategic planning responsibilities. He earned his business degree from James Madison University, and an MBA from Duquesne University.
  • Henry Wasik (News - Alert): Mr. Wasik brings significant experience and insight to Norse, including 30 years in senior positions at several companies, ranging from startups to multinational conglomerates, in the technology sector. His background spans multiple markets, including semiconductors, Enterprise PBXs, large-scale global carrier network systems, web-scale data centers, and cutting-edge cloud services and software providers. Among other positions, he was President and CEO at Joyent, which provides public and private cloud software solutions, and Force 10 Networks, which developed and marketed 10-Gigabit and 40-Gigabit Ethernet switches before being acquired by Dell Inc. Mr. Wasik has a Bachelor's in Electrical Engineering from the University of Bridgeport and a Master's in Industrial Management from the Georgia Institute of Technology (News - Alert).
  • Kathy Santy: Ms. Santy has extensive executive experience in Fortune 500 companies. She is currently a founding principal at Santy Service Consulting, an organizational and leadership development consultancy. Senior management development is a specialty area, and Ms. Santy provides OD consulting to Boards, C-suite executives and senior leadership, helping them establish a company culture built on trust, collaboration and open communication. She also helps startups companies launch and grow, and works with large functional groups to create infrastructures that can scale successfully. Her client list experience includes Symantec, Levi Strauss, Clorox, Portal Software, PGP Corporation, Vocera, Yahoo, Ericsson (News - Alert), and Fitbit.

"Thanks to the hard work and dedication of the brilliant team at Norse, the company's offerings are unquestionably unique, and it continues to show great potential in the emerging security intelligence space," Mr. Wasik noted. "Norse has perhaps the largest private dedicated attack intelligence network in the world, and combines it with automated and skilled human analyses to deliver an unprecedented level of visibility into emerging and existing threats. Norse has a solid and differentiated technological foundation, and our focus going forward will be to build upon that foundation, ensuring that the company has the people and capital resources required to attain its true potential in this exciting market. Our commitment to the vision of market-leading threat intelligence remains, as does our commitment to cutting-edge product development and top-tier customer service."

The Norse security capability tracks live attacks in real time, and applies intelligence to block them. The company offers unparalleled reach into the darkest recesses of the Internet through its sensor network and related assets, and has accumulated the world's most extensive library of data on threat sources and attack originators. Furthermore, these security components are developed and customized for each customer to offer a unique level of early warning, enable organizations to be pre-emptive rather than reactive, and deploy their own security technologies and strategies more effectively.
