Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On February 27, 2014, the Board of Directors (the "Board") of HMS Income Fund, Inc. (the "Company") received and accepted the resignation of Charles N. Hazen from his position as Chairman of the Board ("Chairman") and member of the Pricing Committee, effective February 27, 2014. Mr. Hazen's decision to resign from his position was not the result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices. On February 28, 2014, the Board appointed Sherri W. Schugart as the Chairperson of the Board and member of the Pricing Committee.
