In the management information circular, the Company provides details of its proposal to elect six directors, comprised of five of the directors elected at Espial's last annual general meeting (Peter Seeligsohn, Michael Lee, Michael Hayashi, Kumanan Yogaratnam and Jaison Dolvane), and one new nominee, Aamir Hussain. The Company also proposes to reappoint KPMG LLP as auditors. Three ordinary resolutions are also included in this year's agenda. The first ordinary resolution ratifies the Company's shareholder rights plan, as amended. The second ordinary resolution approves certain unallocated options under the Company's stock option plan for the ensuing three-year period, and the third ordinary resolution ratifies the Company's By-Law 1A.
