The Wendlingen, Baden-Württemberg based company develops and manufactures scalable fuel cell systems for applications in telecom and industry since 2006 and has a reputation as market leader in the German speaking countries. Recent commercial successes include project awards for the modification and upgrade of professional mobile radio networks for public authorities in Brandenburg and other German states.



The combination of FutureE and Heliocentris will create a new market leader in Germany for fuel cell based power solutions in stationary applications from 1kW to 20kW. The integration of Heliocentris' energy management system into the fuel cell technology of FutureE will enable high performance solutions for uninterrupted power supply, which at comparable acquisition cost will allow for significantly lower operating expenditure as conventional solutions based on diesel generators. Moreover, these solutions will be free of CO2-emissions, thus environmentally friendly.

For Heliocentris, the acquisition will substantially enlarge its market position in Europe, thereby reducing the geopolitical risks in the revenue portfolio significantly. Moreover, the move represents an important step into the "on-grid" market, in which customers focus on uninterrupted power supply in situations of emergency and catastrophy rather than on the compensation for an unreliable or not at all available power grid. In addition, through FutureE Heliocentris will gain access into China and Russia, where the former has test installations already up and running with important customers. However, main rationale for acquiring Future E lies in Heliocentris' conviction that already in the near future fuel cells will become a power source of choice in its own core business, the power supply for mobile telecom base stations in off- and bad-grid-situations.

The transaction covers 100% of the shares of FutureE as well as certain shareholder loans, which in aggregate will be contributed into Heliocentris as contribution in kind against a total of 856,904 new ordinary shares. The new shares will be subject to usual lock-up conditions. Their number may increase by a maximum of 61,207 shares depending on the price-evolution of Heliocentris stock until July 31st 2014.

Furthermore, Heliocentris will issue an additional 250,002 new shares against cash, privately placed at 6.00 Euro per share with existing strategic shareholders of the company as well as one of the previous shareholders of FutureE, London based Entrepreneurs Fund. The proceeds raised from the capital increase will be used for the financing of the combined company and the strengthening of its equity position. The filing for registration of both capital increases in the German commercial register is expected for the next few days, when the report of the court-mandated auditor will be available.
