(TSW) has signed a definitive agreement with ASE Assembly & Test (Shanghai) Limited, a Chinese subsidiary of Taiwan's ASE (Advanced Semiconductor Engineering, Inc.), on the transfer of Wuxi Tongzhi Microelectronics Co., Ltd. (WTZ), a wholly owned TSW manufacturing subsidiary in China that assembles and tests semiconductors. The agreement is in line with Toshiba's asset-light strategy for its semiconductor back-end process, to improve the profitability of its Analog IC business, and with ASE's strategy of enhancing its capabilities in back-end processes, its core business. WTZ was established in 2010 as a joint venture of TSW and Nantong Fujitsu Microelectronics Co., Ltd. in 2010. TSW subsequently acquired all shares the company in December, 2012.
