Win Win Gaming Inc. Completes Acquisition of Pixiem Inc.; Adds Wireless Games Development and Worldwide Distribution


LAS VEGAS --(Business Wire)-- May 12, 2005 -- Win Win Gaming, Inc. (OTCBB:WNWN), a Las Vegas-based operator of international lottery games and related gaming ventures, announced the completion of its acquisition of Pixiem, Inc., a developer and publisher of wireless applications and wireless mobile games.

Under agreements with a major sports programming network, Pixiem has developed a line of classic sports games currently in distribution and is developing a line of extreme sports wireless mobile games, which are scheduled for release in summer 2005 and distribution by major wireless phone carriers in the U.S. With mobile application experience since 1997, Pixiem entered the wireless mobile game market in 2004 and today develops and publishes mobile games for the wireless entertainment market in North and South America, with plans to expand into Europe and Asia. Pixiem also publishes wireless mobile games under licenses from major brand names, such as IMG/TWIi, Wimbledon and others.

The acquisition was effected pursuant to a share exchange agreement, under which Win Win issued 3,000,000 shares of restricted common stock to the former stockholders of Pixiem in exchange for all of the issued and outstanding capital stock of Pixiem.

Frost and Sullivan, a leading business consulting firm, stated that, in 2003 the global wireless market reached US$1.1 billion in total sales, and they estimate that the market will reach US$9.3 billion by 2008. In addition, Datamonitor, a market research firm, has estimated that by the end of 2005, about 200 million people in the U.S. and Europe will be playing mobile games and, during the same period, the number in Asia will surpass that 200 million figure.
