Headwater Technology Solutions Acquires Delfour Assets; Establishes Supply Chain Business Division

MARKHAM, Ontario --(Business Wire)-- Jan. 11, 2005 -- Further extending its thrust into the North American and international enterprise business solutions market, Professional Services Firm Headwater Technology Solutions, Inc. has acquired the assets of Delfour, one of the leading developers and marketers of third party logistics solutions for ambient and temperature controlled warehousing facilities and one of the first to provide management software solutions for the emerging fourth party logistics field, it was announced today by Markus Luft and Joe E. Couto, presidents/CEOs of Headwater Technology Solutions, Inc. and Delfour, respectively.

Both companies are based in Markham, enabling it to continue its development programs and client support without interruption as the Headwater Technology Solutions Supply Chain Business division. Former Delfour president Joe E. Couto will head up the new division as a Headwater senior vice president.

Historically, Headwater Technology Solutions has focused on the SAP and Microsoft environments, while SmartEnterprise 2 solutions run on the Oracle environment under both the UNIX and the Linux operating systems.

The combination of companies is expected to offer excellent opportunities for cross marketing into the respective environments, the executives said. Headwater Technology Solutions has a strong North American presence. Delfour is a leader in the Canadian and U.S. temperature-controlled warehouse field, with solutions in place at eight of the International Association of Refrigerated Warehouses (IARW) Top-20, numerous smaller refrigerated facilities and both single and multi-facility ambient temperature warehouse installations.

The Delfour purchase is part of a strategy to provide enterprise solutions to the distribution and supply chain marketplace, Luft said. Headwater will continue to extend its platform of applications and horizontal capabilities to a broadening universe of customers with other strategic acquisitions, Luft said. The company's goal is to achieve critical mass in the markets it addresses by growing profitably through acquisitions and organic opportunities.
