PROPOSED SETTLEMENT AND SETTLEMENT HEARING

DURING THE PERIOD FROM OCTOBER 15, 2002 THROUGH AND INCLUDING MARCH
11, 2003 AND SUFFERED A LOSS THEREBY.


YOU ARE HEREBY NOTIFIED, pursuant to an Order of the United States District Court for the Western District of Pennsylvania, dated May 26, 2004, that a hearing will be held before the Honorable William L. Standish, United States District Judge, at the United States Courthouse for the Western District of Pennsylvania, 829 U.S. Courthouse, Pittsburgh, PA 15219 at 2:30 p.m., on September 10, 2004, for the purposes of determining: (1) whether the Settlement Class should be finally certified as satisfying the applicable prerequisites for class action treatment under Fed. R. Civ. P. 23(a) and (b); (2) whether the proposed settlement of the above litigation for the principal amount of Two Million Dollars ($2,000,000), plus accrued interest, should be approved by the Court as fair, reasonable and adequate; (3) whether a Final Judgment approving the settlement and dismissing the Litigation on the merits and with prejudice should be entered; (4) whether the proposed Plan of Allocation is fair and reasonable; and (5) whether the application for attorneys' fees and reimbursement of expenses is reasonable and should be approved.
IF YOU ARE A MEMBER OF THE CLASS DESCRIBED ABOVE, YOUR RIGHTS WILL BE AFFECTED AND YOU MAY BE ENTITLED TO SHARE IN THE SETTLEMENT FUND. To participate in the Settlement, you must submit a Proof of Claim no later than September 27, 2004. If you are a Class Member and do not exclude yourself from the Class, you will be bound by the Final Order and Judgment of the Court. To exclude yourself from the Class, you must submit a request for exclusion postmarked no later than August 15, 2004. If you are a Class Member and do not submit a proper Proof of Claim, you will not share in the Settlement but you nevertheless will be bound by the Final Order and Judgment of the Court.
