John H. Gutfreund Nominated to Serve on CompuDyne's Board of Directors

HANOVER, Md. --(Business Wire)-- April 21, 2004 -- CompuDyne Corp. (Nasdaq:CDCY) an industry leader in sophisticated security products, integration and technology for the public security markets, announced that John Gutfreund has been nominated to serve on the Company's Board of Directors. Mr. Gutfreund's nomination is subject to shareholder approval at the Company's annual meeting scheduled for May 27, 2004.



John Gutfreund is currently Managing Director and Executive Committee member of C.E. Unterberg, Towbin and President of Gutfreund & Co., Inc. Formerly, Mr. Gutfreund was with Salomon Brothers (1953 - 91). He was Chairman of the Board and Chief Executive Officer of Salomon Brothers Inc. (1981-91); Co-Chairman, Phibro Corp. (1981-83); Co-Chief Executive Officer, Phibro-Salomon Inc. (1983-84); Chief Executive Officer, Phibro-Salomon Inc. (1984-86); Chairman, Chief Executive Officer, President of Salomon Inc. (1986-91).

Mr. Gutfreund is a Director, AccuWeather, Inc.; Director, Evercel, Inc.; Director, LCA-Vision, Inc.; Director, LongChamp Core Plus Fund; Director, Maxicare Health Plans, Inc.; Director and Chairman of the Board, Nutrition 21, Inc. (formerly AMBI, Inc.); Director, The Universal Bond Fund; Director, Montefiore Medical Center and Member of the Executive Committee of the Board of Trustees and Finance and Real Estate Committees; Member, The Brookings Institution, Council Advisory Committee in New York; Member, Council on Foreign Relations; Member, Board of Trustees, New York Public Library; Honorary Trustee, Oberlin (Ohio) College; and Chairman of the Board of Trustees, Aperture Foundation.



He is past Vice Chairman of the New York Stock Exchange (1985-87); past Member, Board of Directors, Securities Industry Association; past Chairman of the Downtown Lower Manhattan Association; past President and Member of the Board of Governors of the Bond Club of New York; past Member, The Trilateral Commission.
