ESPRE Solutions, Inc. signs Letter of Intent to acquire Modular Computing Systems, Inc. in a move to deploy a managed end-to-end Video-On-Demand system.

Acquisition provides ESPRE Solutions anticipated revenues in excess of $4 million with net profits of approximately 20% and MCS' successful track record of providing IP computing technologies for the telecommunications sector.

PLANO, TX — (Sept. 28, 2004) —ESPRE Solutions (OTC Pink Sheets: EPRS), a Dallas-based technology company, specializing in media collaboration solutions powered by a revolutionary and patented video compression technology, today announced that it has signed a Letter of Intent to acquire Modular Computing Systems, a provider of unique telecommunication computing platforms for high reliability systems that are NEBS certified.



"Over the past five years, Modular Computing Systems (MCS) has developed computing, firmware and software products that fill a demand for packet-based technologies in telecom. By leveraging MCS' expertise in custom Sun-based solutions, MCS is addressing a market need that many of our current telecom customers are requesting. ESPRE Solutions' CODEC has allowed MCS to create a managed end-to-end VOD solution that can be deployed in the emerging IP TV market", states Ken Bergstrom, CEO of Dallas-based MCS.

As a licensee of ESPRE Solutions' video CODEC, MCS is developing an end-to-end VOD solution that leverages their expertise with telecom solutions and applying that expertise to address the complexity of delivering TV-quality VOD over a non-managed network like the Internet. By combining world-class compression, advanced server management controls with redundancy built-in at both the server and application level, MCS can deliver broadcast quality video streams over the Internet at under 1 MB per stream and deliver it to in-home television viewers.


ESPRE Solutions’ CEO, Pete Ianace states, "We are very excited about the planned merger as it will allow ESPRE to accelerate its business plan.
