(ENP Newswire Via Acquire Media NewsEdge) ENP Newswire - 25 August 2014 Release date- 22082014 - Petrofac, the international oil & gas facilities service provider, today announces that Norman Murray, who has been Chairman since May 2011, has resigned from the Board and will step down as Chairman with immediate effect for compassionate reasons.



Senior Independent Director, Rijnhard van Tets, will assume the role of Chairman with effect from today. Rijnhard was appointed as a Non-executive Director in May 2007 and became Senior Independent Director in May 2011. Non-executive Director, Thomas Thune Andersen, will become Senior Independent Director.

Rijnhard is non-executive chairman of Euronext NV and Euronext Amsterdam NV, and non-executive director of BNP Paribas OBAM N.V.

BOARD COMMITTEE CHANGES Following these above-noted changes the Board committees will be comprised as follows with immediate effect: Nominations Committee: Rijnhard van Tets (Chairman), Ayman Asfari, Thomas Thune Andersen, Stefano Cao, Roxanne Decyk, Kathleen Hogenson and Rene Medori.

Audit Committee: Rene Medori (Chairman), Thomas Thune Andersen and Kathleen Hogenson.

Remuneration Committee: Thomas Thune Andersen (Chairman), Stefano Cao and Roxanne Decyk.

Board Risk Committee: Stefano Cao (Chairman), Roxanne Decyk, Kathleen Hogenson and Rene Medori.

REMUNERATION ARRANGEMENTS In accordance with Section 4302(B) of the UK Companies Act 2006, the Company hereby confirms that no payment for loss of office will be made to Mr Murray in connection with his ceasing to be Non-executive Chairman of Petrofac Limited. The Company's Directors' Remuneration Report for the year ending 31 December 2014 will include all fees paid to him during the year.
