WOW! Reports Third Quarter 2019 Results


WideOpenWest, Inc. ("WOW!" or the "Company") (NYSE: WOW), a leading, fully integrated provider of residential and commercial high-speed data, video and telephony services to customers in the United States, today announced financial and operating results for the third quarter ended September 30, 2019.

Third Quarter 2019 Highlights (1)

  • Total net Subscriber additions of 7,800
  • Achieved HSD RGU net additions of 10,200 and HSD RGU net additions of 7,900, excluding net additions from Edge-Outs
  • Total Revenue of $285.4 million; Net Income of $11.2 million; Diluted Earnings Per Share of $0.14
  • Adjusted to exclude the impact of Hurricane Michael, Transaction Adjusted EBITDA was $110.4 million, representing an increase of 3.5% over the third quarter of 2018
  • Transaction Adjusted Diluted Earnings Per Share was $0.26
  • Transaction Adjusted EBITDA margin of 38.7% represents expansion of more than 200 basis points over the third quarter of 2018
  • Total Edge-Out projects have extended the network to 166,600 homes passed, which included the addition of 14,000 homes passed in the third quarter of 2019

"We are very pleased with the growth in total HSD RGUs as well as increase in organic HSD RGUs growth," said Teresa Elder, chief executive officer of WOW! "This was the best HSD RGU and organic HSD RGU net additions we've seen since the first quarter of 2018. Additionally, the increase in Edge-Out homes passed in the month of September 2019 was the best in the Company's history."

"Transaction Adjusted EBITDA for the third quarter totaled $110.4 million, representing 3.5% growth on a year-over-year basis," said Rich Fish, chief financial officer of WOW! "The return to HSD RGU and organic HSD RGU growth for the business is an encouraging sign heading into the fourth quarter, and we reiterate our Transaction Adjusted EBITDA guidance for 2019."

Revenue

For the quarter ended September 30, 2019, Total Revenue decreased 2.1% to $285.4 million compared to the quarter ended September 30, 2018, which was driven primarily by a reduction in residential Video and Telephony RGUs, partially offset by growth in residential HSD RGU's and ARPU and Business Services Subscription Revenue growth.

Total Subscription Revenue for the quarter ended September 30, 2019, was $262.4 million, down $4.9 million, or 1.8%, compared to the quarter ended September 30, 2018. Residential Subscription Revenue was $227.7 million, down $6.6 million, or 2.8%, compared to the quarter ended September 30, 2018. Business Services Subscription Revenue, totaled $34.7 million, up $1.7 million, or 5.2%, compared to the quarter ended September 30, 2018.

Other Business Services Revenue totaled $6.8 million for the quarter ended September 30, 2019, up $0.2 million compared to the quarter ended September 30, 2018.

Other Revenue totaled $16.2 million for the quarter ended September 30, 2019, down $1.5 million compared to the quarter ended September 30, 2018.

Costs and Expenses

Operating Expenses (excluding Depreciation and Amortization) totaled $138.8 million for the quarter ended September 30, 2019. Selling, General, and Administrative expenses were $40.6 million for the quarter ended September 30, 2019.

Net Income and Earnings Per Share

Net Income for the quarter ended September 30, 2019, was $11.2 million, compared to Net Income of $30.5 million for the quarter ended September 30, 2018. Diluted Earnings Per Share for the quarter ended September 30, 2019, was $0.14, compared to Diluted Earnings Per Share of $0.37 for the quarter ended September 30, 2018. The year-over-year decrease in Net Income is primarily attributable to Total Revenue declines and a loss on sale of assets. Transaction Adjusted Diluted Earnings Per Share for the quarter ended September 30, 2019, was $0.26.

Adjusted EBITDA

Adjusted EBITDA for the quarter ended September 30, 2019, was $114.2 million. Transaction Adjusted EBITDA for the three months ended September 2019, was $110.4 million, an increase of $3.7 million, or 3.5%, compared to the three months ended September 30, 2018. Transaction Adjusted EBITDA margin was 38.7% for the three months ended September 30, 2019, an increase of more than 200 basis points compared to the three months ended September 30, 2018.

Customers

WOW! reported Total Subscribers of 811,300 as of June 30, 2019. The Company transitioned statistical reporting tools and standardized reporting methodologies in the third quarter of 2019. The standardized reporting led to the following decreases to June 30, 2019, subscriber and RGU counts: Total Subscribers (1,500), HSD RGUs (1,800), Video RGUs (1,000), and Total RGUs (2,800).

Total Subscribers increased by 7,800, or 1.0%, compared to adjusted June 30, 2019, and HSD RGUs increased 10,200, or 1.3%, compared to adjusted June 30, 2019.

Edge-Outs

As of September 30, 2019, Edge-Out projects, in the aggregate, reached 166,600 homes passed as part of the Company's Edge-Out growth efforts started in 2016.

The Edge-Out projects begun in 2016 ("2016 Edge-Out nodes") include 14,000 Customers on such nodes, which represents 33.6% penetration. The Edge-Out projects begun in 2017 ("2017 Edge-Out nodes") include 18,600 Customers on such nodes, which represents 27.9% penetration. The Edge-Out projects begun in 2018 now include 5,000 Customers on such nodes, which represents 16.6% penetration. The Edge-Out projects begun in 2019 ("2019 Edge-Out nodes") now reach 28,200 Homes Passed.

Capital Expenditures

Capital Expenditures, on a reported basis, totaled $63.4 million for the quarter ended September 30, 2019. Transaction Adjusted Capital Expenditures totaled $61.4 million for the quarter ended September 30, 2019. Transaction Adjusted Strategic Capital Expenditures, defined as Edge-Out Capital Expenditures and Business Services Capital Expenditures dedicated to expansion of the Company's network, were $16.5 million for the quarter ended September 30, 2019. Excluding Transaction Adjusted Strategic Capital Expenditures, Transaction Adjusted Capital Expenditures for the quarter ended September 30, 2019, totaled $44.9 million, which equates to 15.7% of Total Revenue for the quarter ended September 30, 2019.

Liquidity and Leverage

As of September 30, 2019, the total outstanding amount of long-term debt and finance lease obligations was $2.324 billion, and cash and cash equivalents were $9.3 million. Total Net Leverage as of September 30, 2019, was 5.35X on a LTM Transaction Adjusted EBITDA basis, down from 5.37X at June 30, 2019, and undrawn revolver capacity totaled $224.5 million.

In addition, we use the following subscriber information in this release:

  • Homes Passed - We report homes passed as the number of serviceable addresses, such as single residence homes, apartments and condominium units, and businesses passed by our broadband network and listed in our database.
  • Subscribers - Because we deliver multiple services to our customers, we report Total Subscribers as the number of Subscribers who receive at least one of our HSD, Video or Telephony services, without regard to which or how many services they subscribe. We define each of the individual HSD Subscribers, Video Subscribers and Telephony Subscribers as a Revenue Generating Unit ("RGU").

While we take appropriate steps to ensure subscriber information is presented on a consistent and accurate basis at any given balance sheet date, we periodically review our policies in light of the variability we may encounter across our different markets due to the nature and pricing of products and services and billing systems. Accordingly, we may from time to time make appropriate adjustments to our subscriber information based on such reviews.
