Spirit Realty Capital, Inc. Announces Pricing of $400 Million of Senior Unsecured Notes due 2029


Spirit Realty Capital, Inc. (NYSE:SRC) ("Spirit" or the "Company") announced today that its operating partnership, Spirit Realty, L.P. (the "operating partnership"), has priced a public offering of $400 million aggregate principal amount of 4.000% senior notes due 2029 (the "Notes"). The Notes priced at 99.924 % of the principal amount and will mature on July 15, 2029. The offering is expected to settle on June 27, 2019, subject to the satisfaction of customary closing conditions. The Notes will be fully and unconditionally guaranteed by the Company.

Wells Fargo (News - Alert) Securities, J.P. Morgan Securities, Morgan Stanley & Co., RBC Capital Markets, Regions Securities and SunTrust Robinson Humphrey acted as joint book-running managers for the offering. BofA Securities, Capital One (News - Alert) Securities, Fifth Third Securities, Mizuho Securities USA, Scotia Capital (USA), Stifel, Nicolaus & Company, U.S. Bancorp Investments and Samuel A. Ramirez & Company acted as co-managers for the offering.

The operating partnership intends to use the net proceeds from the offering to fund potential property acquisitions and for general corporate purposes, which may include repaying or repurchasing indebtedness (including amounts outstanding from time to time under its revolving credit facility, term loan facility and/or delayed draw term loan facility, including amounts temporarily drawn under its revolving credit facility to redeem the Series 2013-2 Class A notes under Master Trust 2013), working capital and capital expenditures.
