NMS Communications to Sell its Platforms Business to Dialogic

NMS Communications said that it has signed a definitive agreement to sell its NMS Communications Platforms business to Montreal, Canada-based Dialogic (News - Alert) Corp. for $28 million in cash. Dialogic is a provider of products and technologies for media and signal processing,

 
NMS is a provider of applications and platforms for value-added services in mobile telecommunications. The company’s platform business provides enabling technology and tools for value-added services.
 
Bob Schechter, chairman and CEO at NMS said that the sale of the NMS Communications Platforms business paves the way to best drive long-term value creation for company’s employees, customers and shareholders.
 
He also said that upon closing, 100 percent of the resources and focus will be dedicated to LiveWire Mobile (News - Alert).
 
LiveWire Mobile, a subsidiary of NMS Communications, is a global provider of managed personalization services for mobile operators. The company's integrated suite of music and video services includes ringback tones, ringtones and full track downloads, and more.
 
“Over the past year, we have taken steps to separate our LiveWire Mobile and NMS Communications Platforms businesses in order to sharpen the focus on and realize the value inherent in each,” said Schechter.
 
The company also announced its intent to change its corporate name to LiveWire Mobile, Inc. and as part of this process, the company plans to change its ticker symbol following the close of the proposed sale of the NMS Communications Platforms business.
 
“We are excited by today’s announcements, which will provide the exclusive focus that will allow LiveWire Mobile to capitalize on its leadership position in the large and rapidly growing market for mobile personalization services,” said Joel Hughes, president at LiveWire Mobile.
 
Once the proposed sale of NMS Communications Platforms business is completed, Hughes is expected to replace Schechter as CEO of the Company. However, Schechter will continue serving on the board of directors as non-executive chairman. It is believed that Hughes will be elected to the company’s board of directors.
 
The transaction is expected to close in the fourth quarter of 2008, and has been approved by NMS’ broad of directors.
