AudioCodes Expected to Acquire MailVision

AudioCodes (News - Alert) is expected to acquire MailVision – a tech company of which it is already a part-owner.


AudioCodes owns 26 percent of MailVision and some of its bonds, and under the agreement, as detailed in a Securities and Exchange Commission document, AudioCodes forgives $200,000 in loans, assumes $1.3 million in debt, and will pay the cofounders on a revenue earn-out, according to a report from Seeking Alpha.

The cofounders are CEO Zeev Lerner (News - Alert) and CTO Diego Besporan.

MailVision provides over-the-top (OTT) solutions. Based in Israel, the company develops, markets and licenses Voice over Internet Protocol (VoIP) solutions for mobile, PC, tablet and web devices for telecom operators and service providers.

"Our proposed acquisition of MailVision (News - Alert) assets will allow AudioCodes to extend our innovative development efforts in the area of mobile SIP real-time communication solutions for enterprise and service providers. We believe this investment in the over-the-top market positions AudioCodes in one of the most attractive growth segments of the communications market, and will assist us in maintaining our position as one of the leaders in the unified communications and real-time media communications solutions market," Shabtai Adlersberg (News - Alert), president and CEO of AudioCodes, said in a recent company statement.

In addition, the deal comes as the smartphone market is projected to increase from $1.12 billion in 2012 to $2.9 billion by 2016.

“AudioCodes has solidified its superior offering and declared its intention to be a serious player in the disruptive mobile VoIP market, which could be bigger than the initial launch of VoIP itself back in 2000,” according to an analysis of the deal from Seeking Alpha. “The product it has on the market will be worth close to an additional $150-200 million ($4 per share) after AudioCodes integrates the two groups and adds whatever special enhancements or tailor fits it to specific partners or customers they may have up its sleeve.”

Lerner and Besporan also founded ZNAX Communications, which was sold to another company in 1996.
