Sangoma Announces Final Base Shelf Prospectus

Communications-as-a-service provider Sangoma Technologies Corporation recently announced it has filed and obtained a receipt for its final short form base shelf prospectus with the securities regulatory authorities in each of the provinces of Canada, with the exception of Quebec.


Sangoma, which is based in Markham, Ontario, offers a variety of cloud-based services including unified communication (UCaaS) business communications, meetings as a service (MaaS), communications platform as a service (CPaaS), trunking as a service (TaaS), fax as a service (FaaS), device as a service (DaaS), and access control as a service (ACaaS). The company also offers premise-based UC systems, a full line of desk phones and headsets, and a complete connectivity suite (gateways/SBCs/telephony cards). Sangoma’s products and services are used in UC, PBX, IVR, contact center, carrier networks, office productivity, and data communication applications across the world. Sangoma is also the primary developer and sponsor of Asterisk and FreePBX, two of the most widely used open-source communication software projects.

The base shelf prospectus will allow Sangoma to qualify the distribution by way of prospectus in Canada of up to CAN$200,000,000 of common shares of the company, debt securities, warrants, subscription receipts, units, or any combination, during the 25-month period the base shelf prospectus is effective. The specific terms of any offering under the base shelf prospectus will be established in a prospectus supplement, which will be filed with the applicable Canadian securities regulatory authorities in connection with any such offering. The company noted there is no certainty any securities will be offered or sold under the base shelf prospectus within its 25-month period of effectiveness.

Sangoma Technologies Corporation is publicly traded on the Toronto Stock Exchange (TSX: STC). Concurrent with the filing of the base shelf prospectus, Sangoma withdrew its previous base shelf prospectus dated June 29, 2020.
