Symantec to Offer $1.0 Billion in Senior Unsecured Notes


Symantec (News - Alert) Corporation (NASDAQ: SYMC) today announced its intention to offer, subject to market and other conditions, $1.0 billion aggregate principal amount of senior unsecured notes due 2025 (the "senior notes") to persons reasonably believed to be qualified institutional buyers pursuant to RuleĀ 144A under the Securities Act of 1933, as amended (the "Securities Act"), and to certain persons in offshore transactions in reliance on Regulation S under the Securities Act. The offering of the senior notes will be conditioned upon the consummation of Symantec's acquisition of LifeLock (News - Alert). Symantec intends to use the net proceeds of this offering, after deducting offering expenses, together with cash on hand, to finance the approximately $2.3 billion aggregate purchase price of its proposed acquisition of LifeLock, Inc.
