The investigation focuses on whether GM and some of its officers and/or directors have violated Sections 10(b) and 20(a) of the Securities Exchange Act of 1934.

Reuters (News - Alert) published an article on December 14, 2016 that China Daily newspaper published a senior state planning official stating, "China will soon slap a penalty on an unnamed U.S. automaker for monopolistic behavior" and that Zhang Handong, the director of the National Development and Reform Commission's price supervision bureau, said that "[i]nvestigators found the U.S. company had instructed distributors to fix prices starting in 2014."


The same day, Bloomberg published a report that "General Motors Co.'s joint venture in China with SAIC (News - Alert) Motor Corp. is being investigated by the government for possible anti-trust violations, according to people familiar with the matter" and that "[s]ome dealerships in the SAIC-GM network were investigated over retail pricing practices."

When this information was disclosed to the public, GM's stock dropped in value, causing investors severe harm.
