The complaint accuses the defendants of violations of the Securities Exchange Act of 1934 and the Securities Act of 1933 by virtue of the defendants' failure to disclose in the Registration Statement and Prospectus issued in connection with the Company's initial public offeing on or about July 15, 2015 and during the Class Period, that Chiasma's Phase 3 clinical trial methodology for Mycapssa, an oral octreotide, was not sufficient to demonstrate efficacy and secure U.S. Food and Drug Administration ("FDA") approval and Chiasma's supervision of its suppliers was not sufficient to prevent deficiencies that would delay FDA approval of Mycapssa.



According to the complaint, following an April 18, 2015 announcement that the FDA had issued a Complete Response Letter regarding the New Drug Application for Mycapssa advising that the Company's application did not provide substantial evidence of efficacy to warrant approval, that another clinical trial would need to be conducted, and that certain deficiencies with one of Chiasma's suppliers would need to be resolved before FDA approval, the value of Chiasma's shares declined significantly.
