Second independent proxy advisory firm recommends MTS shareholders vote FOR BCE transactionWINNIPEG, June 8, 2016 /CNW/ - (TSX: MBT) Manitoba Telecom Services Inc. (MTS) is pleased to announce that Glass, Lewis & Co. (Glass Lewis), an independent proxy advisory firm, has recommended that MTS shareholders (Shareholders) vote FOR the special resolution to approve the statutory plan of arrangement (the Arrangement) pursuant to which, among other things, BCE Inc. (BCE) will acquire all of the issued and outstanding common shares of MTS. The special resolution will be considered at the upcoming special meeting of Shareholders to be held on Thursday, June 23, 2016 at 9:00 a.m. (Manitoba time) in the Provencher Ballroom at the Fort Garry Hotel (222 Broadway, Winnipeg, Manitoba). The MTS Board of Directors has unanimously recommended that Shareholders vote FOR the special resolution to approve the Arrangement. Glass Lewis is the second leading independent proxy advisory firm to issue a recommendation in support of the Arrangement. On Monday, June 6, 2016, Institutional Shareholder Services (ISS) also recommended that MTS shareholders vote FOR the BCE transaction. The independent analyses and recommendations of both ISS and Glass Lewis are relied upon by many major institutional investment firms, mutual funds and fiduciaries throughout North America to help them make more informed investment decisions on behalf of their shareholders.
