Shareholder rights law firm Johnson & Weaver, LLP has launched an investigation into whether the board members of Blyth, Inc. (NYSE: BTH) breached their fiduciary duties in connection with the proposed sale of the Company to The Carlyle Group LP.

On August 31, 2015, Blyth announced it had signed a definitive merger agreement with The Carlyle Group. Under the terms of the agreement, an affiliate of The Carlyle Group will commence a tender offer for all of Blyth's outstanding shares of common stock at $6.00 per share in cash.

The investigation concerns whether Blyth's board failed to satisfy its duties to the Company shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possble for Blyth's shares of common stock. Nationally recognized Johnson & Weaver is investigating whether the proposed deal price represents adequate consideration, especially given that the stock traded well above $6.00 for the greater part of the last several years.
