AXA Equitable and SRS Acquiom Create New Investment Strategy to Address Regulations Disrupting the M&A Status Quo


Foreseeing how new regulations will impact the deposit and money market funds traditionally used as investment vehicles in mergers and acquisitions (M&A) transactions, AXA Equitable, a pioneer in financial protection, and SRS Acquiom, a leading provider of M&A post-closing services, collaborated to launch Escrow Shield Plus(SM), an innovative investment alternative for escrow accounts designed exclusively for M&A.

The Escrow Shield Plus alternative investment strategy combines:

  • a collateralized guarantee of principal from AXA Equitable,
  • the opportunity for higher yields than traditional deposit or money market-type products,
  • liquidity on demand for approved claims against the escrow, and
  • premium service provided by SRS Acquiom.

New Regulations and Increased Risk to Merger Parties

According to Thomson Reuters (News - Alert), more than 40,000 M&A transactions, worth nearly $3.5 trillion, were announced worldwide in 2014. In a typical M&A transaction, roughly 10-20 percent of a deal's value is deposited into an escrow account upon closing, where it is generally held for 12-24 months. The deposit serves as a risk mitigation tool for the buyer in the event that a seller misrepresents certain facts about its business or fails to meet specific terms of the agreement. Funds are typically invested in money market deposit accounts, money market funds or treasury funds.

Following the 2008 financial crisis, regulations were put in place to mitigate systemic risks to the financial system. The result is a matrix of new rules governing financial institutions and asset managers, deposits and other cash management investment products.
