In the complaint, the defendants are alleged to have violated certain provisions of the Securities Exchange Act of 1934. Specifically, the complaint alleges, among other things, that defendants misrepresented and/or failed to disclose that: a) the Company's operating income was overstated due to errors related to the improper deferral of cost overruns on a fixed-price maintenance and logistics support contract; b) the net sales regarding the fixed-price maintenance and logistics support contract were overstated; c) L-3 did not have sufficient internal control over financial reporting; and d) due to the above, the Company's financial statements were false and misleading at all relevant times.
