AGL RESOURCES INC FILES (8-K) Disclosing Amendments to Articles of Inc. or Bylaws; Change in Fiscal Year, Financial Statements and Exhibits(Edgar Glimpses Via Acquire Media NewsEdge) Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year On July 29, 2014, the board of directors of AGL Resources Inc. (the "Company") approved an amendment and restatement of the Company's Bylaws, to be effective as of the same date. The Bylaws were amended to provide for a majority voting standard in uncontested director elections. Prior to this amendment, the Company had a plurality voting standard in uncontested director elections, with a director resignation policy. The Bylaws also were amended to clarify the information required for the submission of a director candidate by a shareholder. A copy of the Company's Amended and Restated Bylaws is attached hereto as Exhibit 3.1 and incorporated herein by reference.
