ODYSSEY MARINE EXPLORATION INC FILES (8-K) Disclosing Change in Directors or Principal Officers, Financial Statements and Exhibits(Edgar Glimpses Via Acquire Media NewsEdge) Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On April 16, 2014, the Board of Directors (the "Board") of Odyssey Marine Exploration, Inc. (the "Company") adopted the 2014 Stock Incentive Plan (the "Plan"), subject to stockholder approval. The Plan provides for the grant of incentive stock options, non-qualified stock options, restricted stock awards, restricted stock units and stock appreciation rights. The Plan will be submitted to the Company's stockholders for approval at the next meeting of stockholders. No awards have been made or granted under the Plan, which the Board adopted because the Company's 2005 Stock Incentive Plan will expire in 2015. Up to 5,000,000 shares may be issued pursuant to awards under the Plan, of which any number may be used for stock options, restricted stock, restricted stock units, or stock appreciation rights. Eligible recipients consist of employees of the Company or any subsidiary who hold a position that is important to the success of the Company, members of the Board, and consultants or advisors who are eligible to receive shares that are registered on SEC Form S-8.
