MEDNAX Adopts Majority Voting Policy for Election of Directors


FORT LAUDERDALE, Fla --(Business Wire)--

MEDNAX, Inc., (NYSE:MD) today announced that the Board of Directors of MEDNAX, Inc., amended its Corporate Governance Principles to adopt a majority voting policy. Under the Majority Voting Policy, any nominee for director who receives more "withheld" votes than "for" votes in an uncontested election must submit a written offer to resign as director. Any such resignation will be reviewed by the Board's Nominating and Corporate Governance Committee and, within 90 days after the election, the independent members of the Board will determine whether to accept, reject or take other appropriate action with respect to, the resignation, in furtherance of the best interests of MEDNAX and its shareholders.
