NMS Communications Receives Shareholder Approval for Sale of the NMS Communications Platforms Business to Dialogic
FRAMINGHAM, Mass. --(Business Wire)--
NMS Communications Corporation (NASDAQ: NMSS), a leading provider of applications and platforms for value-added services in mobile telecommunications today announced that they received shareholder approval for the sale of the NMS Communications Platforms business to Dialogic Corporation for a total consideration of $28 million in cash, subject to certain adjustments set forth in the definitive agreement. In addition, shareholders approved a corporate name change to LiveWire Mobile, Inc., upon closing of the sale of the NMS Communications Platforms business, to more accurately reflect the strategic focus and branding of the Company. The Company's shareholders also approved a proposal by which the Board of Directors may reverse split shares of the Company.
