(M&A Navigator Via Acquire Media NewsEdge) The following is a list a of deals covered in detail by M&A Navigator this week: - US LIQUIDITY SERVICES AGREES TO BUY NETWORK INTL FOR INITIAL USD7.5M US Liquidity Services (NASDAQ:LQDT), or LSI, an online auction marketplace for surplus assets, said it has agreed to buy peer Network International for an initial USD7.5m (EUR6.2m) in cash and an additional up to USD7.5m based on EBITDA results over 18 months from closing.



Status: Agreed - US VISUALANT BUYS TRANSTECH TO ACCESS DISTRIBUTION US Visualant (OTC:VSUL), a security and authentication systems specialist, said on Wednesday it has closed the purchase of TransTech Systems, to get access to a distribution channel and customer base.

Status: Closed - US PC MALL BUYS NETWORK SERVICES PLUS TO BOOST SERVICE PORTFOLIO US PC Mall (NASDAQ:MALL), a direct marketer of technology products, said it had bought Network Services Plus (NSPI) for an initial price of USD7.8m (EUR6.5m), to add to its managed services offering.


Status: Closed - US HOME DIAGNOSTICS, NIPRO DIABETES TO TIE UP INTO NIPRO DIAGNOSTICS Florida-based Home Diagnostics and Nipro Diabetes Systems, providing medical products to the healthcare sector, said they will combine their operations and become Nipro Diagnostics Inc.

Status: Agreed - US AMHN AGREES TO TAKE OVER SPECTRUM HEALTH NETWORK US AMHN Inc (OTC:AMHN), a supplier of digital video programmes to the healthcare sector, said it has agreed to take over local Spectrum Health Network Inc from Gordon Communications Inc in a share swap deal.

Status: Agreed - US KNIGHT CAPITAL TO TAKE STAKE IN EQUIDUCT US financial services firm Knight Capital Group Inc (EPA:KCG) and UK-based Equiduct Systems Ltd, the operator of the pan-European equities trading platform, said that they agreed on Knight to carry out a strategic investment in Equiduct.

Status: Agreed - US BD AGREES TO SALE PARTS OF MEDICAL SEGMENT, OPHTHALMIC SYSTEMS UNIT US medical technology company Becton, Dickinson and Company (NYSE:BDX), or BD, said it has agreed on the sale of parts of its Medical activities, including the Ophthalmic Systems unit, to RoundTable Healthcare Partners, private equity firm concentrated on the healthcare sector.

Status: Agreed - EPCOR UTILITIES AGREES TO TAKE OVER ARIZONA'S CHAPARRAL CITY WATER Canada-based EPCOR Utilities Inc said it has agreed to take over Arizona-based Chaparral City Water Company, part of American States Water Company (NYSE:AWR), for USD35m (EUR29.35m), including the taking of USD6m in long-term liabilities.

Status: Agreed - BASF AGREES TO OFFLOAD HYDROPHILIC MELT ADDITIVES OPS TO US TECHMER German chemical group BASF SE (ETR:BAS) said it has inked a definitive agreement to offload its hydrophilic melt additives operations to US colours and additives producer Techmer PM LLC for an undisclosed sum.

Status: Agreed - UK COMMERCIAL PROPERTY TRUST TO TAKE OVER FCPT UK Commercial Property Trust (LON:UKCM), or UKCPT, said it had agreed to take over F&C Commercial Property Trust (FCPT) to create UK's sixth largest listed property company with a market value of some GBP1.6bn (USD2.3bn/EUR1.9bn).

Status: Bidding - PAI PARTNERS TO BUY FRENCH LAB TESTING CO CERBA French private equity firm PAI Partners has agreed to acquire clinical testing company Cerba from Nordic buyout firm IK Investment Partners for an undisclosed amount, it said.

Status: Agreed - RUSSIAN KAUSTIK BUYS 93.8% OF BEREZNIKI SODA PLANT Russian chemicals company Kaustik said on Wednesday it has taken 93.809% of Berezniki Soda Plant's chartered capital and 96.998% of its common stock.

Status: Closed - PMC-SIERRA CLOSES DEAL WITH ADAPTEC US communications and storage chip maker PMC-Sierra unveiled the completion of the previously announced acquisition of the channel storage division of US Adaptec (NASDAQ:ADPT), a provider of hardware and software data storage solutions.

Status: Closed - US SUGAR TO TAKE OVER ONLINE CITY GUIDE FRESHGUIDE US women's media firm Sugar Inc said it has inked a definitive agreement to take over FreshGuide Inc, an online city guide focused on women, for an undisclosed sum.

Status: Agreed - ITALIAN POLIGRAFICA SAN FAUSTINO BOOSTS STAKE IN MEDIATTIVA Italian printing services provider Poligrafica San Faustino (BIT:PSF) has closed the acquisition of 9% in web designer Mediattiva and thus increased its holding in the company to 74%.

Status: Closed - ALLOY SELLS FRONTLINE DIVISION FOR USD36M US media and marketing programmes provider Alloy (NASDAQ:ALOY) said it has sold its FrontLine in-store marketing division to Acosta Sales and Marketing for USD36m (EUR30.1m) in cash.

Status: Closed - FRENCH DASSAULT SYSTEMES BUYS EXALEAD FOR EUR135M French software solutions developer Dassault Systemes (EPA:DSY) announced the acquisition of search specialist Exalead for some EUR135m (USD161m).

Status: Closed - EMERGENCY MEDICAL SERVICES CLOSES CPPA ANESTHESIA SERVICES OPS BUY US Emergency Medical Services Corp (NYSE:EMS) announced it has finalised the acquisition of the anesthesia services units of local Clinical Partners (CPPA).

Status: Closed - ADDTECH TAKES MAJORITY OF EGIL ENG & CO Addtech Components, a unit of Swedish industrial equipment maker Addtech (STO:ADDTB), signed a deal to buy 80% of Norwegian sector player Egil Eng & Co AS for an undisclosed sum.

Status: Agreed - ING'S REAL ESTATE UNIT SALE COULD FETCH UP TO EUR600M A potential sale of ING Real Estate Investment Management, part of Dutch financial services group ING (AMS:INGA), could fetch between EUR500m (USD597.4m) and EUR600m, brokerage firm SNS Securities said.

Status: Closed - UK BRULINES AGREES TO BUY RETAIL & FORECOURT SOLUTIONS UK Brulines (LON:BRU), providing real time monitoring systems to the leisure and forecourt services sectors, said it was buying Retail & Forecourt Solutions (RFS), in a cash deal.

Status: Agreed - AEROFLEX STRIKES DEAL TO BUY PEER FOR USD20M IN CASH US aerospace electronics components maker Aeroflex said it has inked an agreement to buy peer Advanced Control Components from another aerospace and defence electronic devices producer, Emrise Corp (NYSE:ERI), for USD20m (EUR16.8m) in cash.

Status: Agreed - AUSTRIAN OEVAG ON TRACK TO SELL PROPERTY UNIT Austrian bank Oesterreichische Volksbanken AG (WBAG:VBPS), or OeVAG, is nearing a deal to sell its real estate unit Europolis, OeBAG's spokesman Walter Groeblinger said.

Status: Exclusivity - UK MORSON TAKES OVER TROUBLED RIVAL WYNNWITH FOR GBP7.75M UK technical staffing company Morson (LON:MRN) said it had bought loss-making rival Wynnwith Group Limited and its trading Italian unit Wynnwith SRL, for cash GBP7.75m (USD11.2m/EUR9.4m).

Status: Closed - HARMAN COMPLETES SALE OF QNX SOFTWARE UNIT US hi-fi audio systems maker Harman International (NYSE:HAR) said it has closed the divestment of its software operating systems unit QNX Software Systems to Canadian wireless solutions specialist Research In Motion (TSE:RIM) for USD200m (EUR168m).

Status: Closed - SANTANDER IN EXCLUSIVE TALKS TO BUY SEB'S GERMAN RETAIL BANK OPS Swedish lender Skandinaviska Enskilda Banken (STO:SEBA), or SEB, is holding exclusive negotiations with Spanish banking group Banco Santander (MCE:SAN) over the sale of its struggling German retail banking unit.

Status: Exclusivity - SWISSQUOTE ACQUIRES TRADING PLATFORM TRADEJET Swiss online broker Swissquote Group (SWF:SQN) said it has bought trading platform Tradejet from Boerse Stuttgart in a move to strengthen its presence in the online trading sector.

Status: Agreed - CENTAUR TAKES OVER UK TAXBRIEFS FOR GBP1.9M IN CASH British business and special interest media group Centaur (LON:CAU) announced it has acquired tax information and advice provider Taxbriefs Holdings for GBP1.9m (USD2.7m/EUR2.3m) in cash.

Status: Closed - GDF SUEZ TO GAIN FULL CONTROL OF GASELYS French utility GDF Suez (EPA:GSZ) is planning to buy out Gaselys, its joint venture with local lender Societe Generale (EPA:GLE), in a bid to become a major European gas and energy trader.

Status: Auction - KENSINGTON LEASING CLOSES ALLIANEX DEAL US equipment leasing company Kensington Leasing (OTC:KNSL) said it has completed the acquisition of prepaid cards distributor Allianex.

Status: Closed - SHELL BUYS INTO VIRENT ENERGY IN USA Oil major Royal Dutch Shell (AMS:RDSA, LON:RDSA) announced the acquisition of a 15.5% stake in US biofuel firm Virent Energy Systems.

Status: Closed - ING PICKS MORGAN STANLEY FOR REAL ESTATE UNIT SALE Dutch financial services group ING (AMS:INGA) has mandated Morgan Stanley (NYSE:MS) to advise it on a potential sale of its real estate management business.

Status: Auction - ITALIAN RECORDATI TAKES OVER ROMANIAN ARTMED Italian drug maker Recordati (BIT:REC) said it has bought Bucharest-based drug promoter and marketer ArtMed International for EUR1.2m (USD1.4m) plus an earn-out based on licences.
