Status: Agreed - PORTER BANCORP STARTS EXCHANGE OFFER FOR CITIZENS FIRST CORP US bank holding company Porter Bancorp (NASDAQ:PBIB) said it has initiated an exchange offer to buy all the shares of peer Citizens First Corporation (NASDAQ:CZFC) for USD9 (EUR5.99) per share.

Status: Bidding - SYLVANIA RESOURCES TERMINATES DEAL WITH FINNISH RUUKKI Australian mineral explorer Sylvania Resources (ASX:SLV) said it has terminated its agreement to be acquired by Finnish mineral refiner Ruukki Group (HEL:RUG1V).

Status: Agreed - SPANISH BBK BUYS LAND FROM SACYR FOR EUR 48M Spanish construction and services group Sacyr Vallehermoso (MCE:SYV) has offloaded land in Bolueta, northern Spain, for EUR48m (USD72.1m) to local savings bank BBK.

Status: Closed - ITALIAN MARAZZI TO DISPOSE OF TWO PLANTS IN FRANCE Italian tiles maker Marazzi Group has unveiled plans to dispose of its plants in Chateauroux and Forbach, central and northeastern France, on the back of worsening financial performance.

Status: Agreed - CNE CLEARS NATURGAS TO BUY ASSETS FROM GAS NATURAL Spain's energy regulator CNE granted its approval to Spanish gas distributor Naturgas Energia Grupo, a unit of Portuguese utility EDP (ELI:EDP), to buy assets from gas utility Gas Natural (MCE:GAS).

Status: Closed - US PROPALMS CLOSES BUY OF FOCUS SYSTEMS FOR USD225,000 US software vendor and developer Propalms (OTC:PRPM) said it had wrapped up the purchase of desktop virtualisation and voice over IP (VOIP) provider Focus Systems for USD225,000 (EUR150,000), paid in stock.

Status: Closed - US MEMC TO ACQUIRE SUNEDISON FOR USD200M US silicon wafers maker MEMC Electronic Materials (NYSE:WFR) has inked an agreement to acquire solar energy services provider SunEdison for USD200m (EUR133m) in cash and stock, MEMC said.

Status: Agreed - SANOFI-AVENTIS TO BUY 74% IN RUSSIAN BIOTON WOSTOK French pharmaceutical group Sanofi-Aventis (EPA:SAN) has entered an agreement to buy a 74% stake in Russian insulin producer Bioton Wostok from Polish drug maker Bioton (WAR:BIO) and Russian investor Siergiej Dokuczajew.

Status: Agreed - US EVERBANK TO BUY TYGRIS COMMERCIAL FINANCE US privately-held financial service provider EverBank Financial said it had signed a final agreement to buy finance and leasing company Tygris Commercial Finance Group.
