HUDSON CITY BANCORP INC FILES (8-K) Disclosing Change in Directors or Principal Officers, Financial Statements and Exhibits(Edgar Glimpses Via Acquire Media NewsEdge) Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On September 16, 2014, the Boards of Directors of Hudson City Bancorp, Inc. (the "Company") and Hudson City Savings Bank (the "Bank") each appointed Denis J. Salamone to serve as Chairman of the Board and Anthony J. Fabiano to serve as President and Chief Operating Officer, effective immediately. Mr. Fabiano was also elected a director to the Board of Directors of both the Company and the Bank, effective immediately. Biographical and other information about Mr. Salamone and Mr. Fabiano required by Item 5.02(c) of Form 8-K was previously reported in the Company's Form 10-K/A for the year ended December 31, 2013, and is incorporated herein by reference. There are no family relationships between Mr. Salamone and Mr. Fabiano and any of the Company's directors or executive officers, and the Company has not entered into any transactions with Mr. Salamone and Mr. Fabiano that are reportable under Item 404(a) of Regulation S-K. There is no arrangement or understanding between Mr. Fabiano and any other persons pursuant to which Mr. Fabiano was selected as a director. In connection with Mr. Fabiano's appointment as President and Chief Operating Officer, the Compensation Committee of the Board of Directors adjusted Mr. Fabiano's annual base salary to $600,000. The Compensation Committee of the Board of Directors adjusted Mr. Salamone's annual base salary to $1,200,000 in recognition of Mr. Salamone's previous appointment as Chief Executive Officer.
