Charter Prices $1.0 Billion Senior Unsecured NotesSTAMFORD, Conn., Jan. 17, 2017 /PRNewswire/ -- Charter Communications, Inc. (NASDAQ: CHTR) (along with its subsidiaries, "Charter") today announced that its subsidiaries, CCO Holdings, LLC and CCO Holdings Capital Corp. (collectively, the "Issuers"), have priced $1.0 billion in aggregate principal amount of senior unsecured notes due 2027 (the "Notes"). The Notes will bear interest at a rate of 5.125% per annum and will be issued at a price of 100.0% of the aggregate principal amount of $1.0 billion. Charter intends to use the net proceeds from the sale of the Notes to repurchase the Issuers' outstanding 6.625% Senior Notes due 2022, to pay related fees and expenses and for general corporate purposes. Charter expects to close the offering of the Notes on February 6, subject to customary closing conditions. The Notes are being sold to qualified institutional buyers in reliance on Rule 144A and outside the United States to non-U.S. persons in reliance on Regulation S. The Notes have not been registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities laws and, unless so registered, may not be offered or sold in the United States except pursuant to an exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and applicable stte securities laws.
