Appointment of Certain Officers.
Effective October 20, 2014, Mr. Stephen Kadenacy resigned as a member of the
Board of Directors of ABM Industries Incorporated (the "Company"). Mr. Kadenacy
advised the Company that he resigned in order to devote his full time and
attention to his new responsibilities as President and Chief Financial Officer
at his current employer. He did not resign as a result of any disagreement with
the Company on any matter relating to the Company's operations, policies or
practices.
