Research and Licensing Agreements Between CounterPath and Columbia University AmendedBy Carolyn J Dawson, TMCnet Contributor CounterPath (News - Alert) Corporation, supplier of desktop and mobile VoIP software products and solutions, recently announced that it has amended some key terms and conditions in its active research and licensing agreements with Columbia University. These changes pertain to capabilities in the areas of mobile communications and Voice over Internet.
For the past ten years, CounterPath and its predecessors have financially supported and arranged funding for many of Columbia University’s research program. Some technologies which have resulted from these research initiatives have also been licensed to CounterPath. In order to accommodate the restructuring that has been recently decided upon for its existing arrangement with the university, CounterPath has issued 527,370 shares from its equity share capital to the university. With this, the university will accept settlement of all amounts owed by the corporation under the erstwhile agreements and the rights to some capabilities have also gone back to the university. The agreed issue price for the shares was 0.75(CDN 0.84) per share. Law stipulates that these shares will not be and have not been registered under the United States Securities Act of 1933 and may not be offered or sold in the United States pending registration or an applicable exemption from the registration requirements under the United States Securities Act of 1933. CounterPath offers a broad range of products, including SIP-based smartphones, server applications and fixed mobile convergence solutions. These products enhance the capabilities of service providers, enterprises and original equipment manufacturers (OEMs) which help them achieve cost efficiency in voice, video presence and instant messaging applications while integrating them into their VoIP products. It also helps them extend their list of capabilities over both fixed and mobile networks. Some of the world’s most renowned telecommunications service providers and network equipment providers figure in the client list of CounterPath. These include AT&T, Verizon (News - Alert), British Telecom, Deutsche Telekom, Cisco Systems, Mitel and Nortel.
